1. Acceptance of Terms
By accessing or using the Care Alliance Collective™ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, providers, partners, and clients who access or use the Service.
2. Description of Service
Care Alliance Collective™ provides a behavioral health coordination platform that connects providers, partners, and clients through referral management, directory services, care coordination tools, and related functionality. The Service is not a healthcare provider and does not provide medical advice, diagnosis, or treatment.
3. User Accounts
You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription & Billing
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly basis and are non-refundable except as required by law. You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period. We reserve the right to change subscription pricing with 30 days' advance notice.
5. Anti-Kickback & Referral Compliance
Subscription tiers provide platform workflow features only. No subscription fee — at any tier — constitutes payment for, or guarantees receipt of, patient or client referrals. Referral decisions are made solely on the basis of clinical criteria, including but not limited to provider specialty, insurance acceptance, geographic availability, and current capacity.
Higher-tier subscriptions may include enhanced platform tools such as intelligent matching notifications, priority visibility of new cases, advanced analytics, and dedicated support. These features improve operational workflow efficiency and do not influence clinical referral decision-making.
Care Alliance Collective™ is designed to comply with the federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b), the Stark Law (42 U.S.C. § 1395nn), and applicable state anti-referral laws. Patients and clients always retain freedom of choice in selecting their provider. No provider is guaranteed referrals, preferential placement in clinical decisions, or exclusivity as a result of their subscription tier.
By using the Service, all users acknowledge and agree that subscription fees are compensation for access to technology-based workflow tools and are not remuneration for the referral of patients or clients.
6. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable laws
Share, transmit, or store Protected Health Information (PHI) outside of designated secure channels
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or its infrastructure
Impersonate any person or entity or misrepresent your affiliation
Use automated means to access the Service without prior written consent
7. Provider Responsibilities
Providers using the Service are independently licensed professionals responsible for maintaining their own licensure, insurance, and compliance with applicable laws and regulations. Care Alliance Collective™ does not credential, endorse, or guarantee any provider listed on the platform. Providers are solely responsible for the care they deliver to clients.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Care Alliance Collective™ and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
9. Limitation of Liability
To the maximum extent permitted by law, Care Alliance Collective™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Travis County, Texas.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
